1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Formula Corporation Pty Ltd trading as The Great Race ("The Great Race", "we", "us", "our") governing your access to and use of our digital magazine platform, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Account Registration

2.1 Account Requirements

To access certain features of the Service, you must create an account. You must:

• Be at least 18 years of age
• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account

2.2 Account Security

You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately upon becoming aware of any security breach or unauthorized use of your account.

2.3 Session Limits

To protect your account and our content, we limit concurrent sessions. You may have one active web session and one active mobile app session at any time.

3. Subscription and Payment

3.1 Subscription Plans

We offer the following subscription options:

• Monthly: $7.99 AUD per month, billed monthly
• Annual: $79.00 AUD per year, billed annually (save over 17%)

3.2 Payment Terms

• All prices are in Australian Dollars (AUD) and include GST
• Payment is processed securely through Stripe
• Subscriptions automatically renew unless cancelled
• You authorise us to charge your payment method on each renewal date

3.3 Cancellation

You may cancel your subscription at any time:

• Access continues until the end of your current billing period
• No refunds are provided for partial periods
• Competition entries may be invalidated upon cancellation (see Competition Terms)

3.4 Free Trial

If we offer a free trial, you must provide payment details upfront. You will be charged the subscription fee at the end of the trial unless you cancel before it expires.

3.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes will apply to your next billing period after the notice period.

4. Content and Intellectual Property

4.1 Our Content

The Service contains content owned or licensed by The Great Race, including text, graphics, images, videos, magazines, and other materials ("Content"). This Content is protected by copyright, trademark, and other intellectual property laws.

4.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

• Access and view Content for personal, non-commercial use
• Use the Service as intended through our provided interfaces

4.3 Restrictions

You may not:

• Copy, reproduce, distribute, or publicly display any Content
• Modify, adapt, translate, or create derivative works from Content
• Remove, obscure, or alter any copyright or proprietary notices
• Use any automated means to access or collect Content
• Circumvent, disable, or interfere with security features
• Share your account or login credentials with others
• Use the Service for any commercial purpose without written consent

4.4 Watermarking

Content may contain forensic watermarks that identify your account. Unauthorized distribution of Content may result in account termination and legal action.

5. User Conduct

5.1 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems or accounts
• Interfere with or disrupt the Service
• Impersonate any person or entity
• Engage in fraudulent activities

5.2 Enforcement

We may investigate violations and take action including content removal, account suspension, or termination, without prior notice.

6. Competition

Participation in competitions is subject to the Competition Terms & Conditions. Competition entries are earned through subscription and may be invalidated upon subscription cancellation or violation of these Terms.

7. Third-Party Services

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third parties. Your interactions with third-party services are governed by their respective terms.

8. Disclaimers

8.1 Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time.

8.2 Content Accuracy

While we strive for accuracy, we make no warranties regarding the accuracy, completeness, or reliability of Content. Content is provided for informational and entertainment purposes.

8.3 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GREAT RACE AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, goodwill, or other intangible losses
• Any damages exceeding the amount you paid us in the preceding 12 months

Some jurisdictions do not allow limitation of liability, so the above may not apply to you. Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless The Great Race and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

11. Termination

11.1 By You

You may terminate your account at any time through your account settings or by contacting us.

11.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or for any other reason at our discretion.

11.3 Effect of Termination

Upon termination:

• Your licence to use the Service and access Content ends immediately
• You remain responsible for any fees or charges incurred before termination
• Competition entries may be invalidated
• Provisions that by their nature should survive will survive termination

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law principles.

13.2 Dispute Resolution

Any dispute arising from these Terms will first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes will be resolved through the courts of Queensland, Australia.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Competition Terms, constitute the entire agreement between you and The Great Race regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
